Release of easements did not involve any breach of fiduciary duty
The condominium corporation alleged that two former directors had breached fiduciary duties by releasing valuable easements without compensation and by securing personal benefits.
The court dismissed the claims, finding that the Corporation was contractually obligated to release the easements as they were no longer necessary for the Corporation’s operation, and that the Defendants had acted in good faith.
The Court also dismissed claims against the other Defendants for the tort of knowing assistance with a breach of fiduciary duties.
